WZLOT sp. z o.o. t/a Constellation Engineering

Terms of Business

These terms govern services provided by Constellation Engineering. Please read them together with the written proposal, engagement email or invoice for your specific engagement.

1. Who we are

These terms apply to services provided by WZLOT sp. z o.o., trading as Constellation Engineering, KRS 0001244989, registered office Fryderyka Szopena 35C/W164, 35-055 Rzeszów, Poland. Engagements contracted with our partnered companies outside of Poland are governed by that company’s Terms of Business.

2. Services

We provide Amazon and marketplace services including: seller account reinstatement and suspension appeals; business, identity and corporate verification support, including documentation sourced from Companies House and equivalent registers; ASIN and listing reinstatement; account health protection and monitoring; brand protection and abuse reporting; consultation; listing optimisation and A+ Content; Amazon Ads and PPC support; Seller Central operations; custom software development and more. The services to be provided in your case are those set out in our written proposal, engagement email or invoice.

3. No guaranteed outcome

All decisions regarding account reinstatement, verification, listing status and enforcement rest solely with Amazon or the relevant marketplace. We do not control, influence, represent or act for Amazon. We do not guarantee that any account or listing will be reinstated, that any verification will be accepted, or the time any decision will take. We do not guarantee specific revenue, ranking, advertising performance, savings or other commercial outcomes unless expressly stated in writing. Our fees are for the work performed, not for any particular result.

4. What is included

Where we are engaged on a fixed fee reinstatement or appeal matter, the fee covers all appeals, escalations and correspondence with Amazon relating to that matter until it is resolved. Resolved means that the account or listing is reinstated, or that Amazon has issued a final decision from which no further appeal is available. New or unrelated enforcement actions arising after engagement are treated as separate matters.

5. Fees and payment

All fees are payable in advance. Work commences on receipt of cleared funds. Fees are quoted exclusive of VAT, which is charged at the applicable rate. Fees are non-refundable, including where the outcome sought is not achieved, where you terminate before the matter concludes, or where the account is reinstated by any route other than our work. Where payment is made by a third party on your behalf, you remain responsible for these terms.

6. Account access and authorisation

Where the services require us to work within your Seller Central account, you will authorise us through Amazon’s Service Provider Network or such other mechanism as Amazon requires. You confirm you are authorised to grant that access. We will access only what is necessary for the services and will not make changes outside the agreed scope without your approval.

7. Your obligations

You will provide promptly and in full all information, documentation, correspondence, case identifiers and access we reasonably request, and ensure it is accurate and complete. You will not submit your own appeals or correspondence on the same matter while we are engaged without telling us first, as conflicting submissions can prejudice a case. Delay or inaccuracy on your part may affect timescales and outcomes, and we are not responsible for the consequences.

8. Confidentiality

Each party will keep the other’s confidential information confidential, use it only for the purposes of the engagement, and disclose it only to those who need it for that purpose or where required by law or a regulator. This does not apply to information already public or lawfully held before disclosure.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited. Subject to that, our total aggregate liability arising out of or in connection with the services is limited to the fees paid by you for the matter giving rise to the claim. We are not liable for loss of profits, revenue, sales, business, anticipated savings, goodwill, business opportunity or data, or for any indirect or consequential loss, in each case whether or not foreseeable.

10. Termination

Either party may terminate ongoing monthly services on 30 days’ written notice. Either party may terminate immediately on written notice if the other commits a material breach which is not remedied within 14 days of written notice, or becomes insolvent. Fees already paid are not refundable on termination. Clauses 3, 5, 8 and 9 survive termination.

11. General

These terms, together with our written proposal, engagement email or invoice, form the whole agreement between us and supersede any prior discussions. Where there is a conflict, the engagement-specific document takes precedence over these terms. No variation is effective unless agreed in writing. Nothing in these terms creates a partnership, joint venture or agency between us. No third party has any right to enforce these terms.

12. Governing law

These terms are governed by the laws of Poland and the competent Polish courts have jurisdiction, save that where the contracting entity is a partner company outside of Poland, the laws their respective county apply and the courts of that country have exclusive jurisdiction.
